Terms of Service
1. Scope
These Terms of Service govern all business relationships between SMIP AI LLC ("SMIP AI", "we"), a Wyoming limited liability company (Filing No. 2025-001701078), and its clients. Our services are directed exclusively at businesses, not at consumers.
2. Services
SMIP AI provides AI automation development, marketing automation SaaS and whitelabel solutions. The exact scope is defined in individual agreements or order confirmations.
3. Disclaimer of Warranties
Except as expressly agreed in writing, services are provided "as is" without warranties of any kind, whether express or implied, including merchantability and fitness for a particular purpose.
4. Limitation of Liability
To the maximum extent permitted by law, SMIP AI shall not be liable for indirect, incidental or consequential damages. Total liability is limited to the fees paid for the respective order.
5. Confidentiality
Both parties shall keep confidential information of the other party confidential and use it solely for the purposes of the cooperation; this obligation survives termination.
6. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Exclusive venue for all disputes is Sheridan County, Wyoming.
